Terms and Conditions of Exclusive Print Design Licenses

These terms and conditions ("Terms") govern the sale and use of exclusive print design licenses ("License") offered by Moon Studio Design Limited ("Company") through its website ("https://moonstudiodesign.co.uk"). By purchasing a License from the Website, you agree to be bound by these Terms.

 

1. License Grant:

• The Company grants you an exclusive, non-transferable, and non-sublicensable License to use the purchased print design for commercial purposes as outlined in these Terms.
• The agreement document in detail will be provided upon purchase or by request before purchase.

2. Ownership and Intellectual Property:

• All rights, title, and interest in and to the print design, including any associated intellectual property rights, remain with the Company or its licensors. Purchasing a License does not transfer ownership of the design.
• All images on the website is prohibited to copy or use for any purposes without purchasing the design. 

3. Permitted Use:

• You may use the print design solely for the purposes of printing and selling physical products. Any other use, including but not limited to digital reproduction, modification, or distribution, is strictly prohibited.
• Modification is only allowed in order to change the colourways or sizes to meet the guidelines of manufacturing. We offer you the data modification service, please contact us for further service.

4. Exclusive Rights:

• The License purchased grants you exclusive rights to use the print design perpetually, as indicated at the time of purchase. During this period, the Company will not sell or license the design to any other party.

5. Restrictions:

• You may not resell, redistribute, or otherwise transfer the License or the print design to any third party without the Company's prior written consent.
• You may not use the print design in any manner that infringes upon the intellectual property rights of the Company or any third party.

6. Payment and Fees:

• The fees for the License are as specified on the Website at the time of purchase. Payment is due in full at the time of purchase and is non-refundable.

7. Termination:

• The Company reserves the right to terminate the License and revoke your access to the print design if you breach any of these Terms. Upon termination, you must cease all use of the print design and destroy any copies in your possession.

8. Limitation of Liability:

• In no event shall the Company be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the print design.

9. Governing Law:

• These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in England and Wales.

10. Amendments:

• The Company reserves the right to amend these Terms at any time by posting the revised terms on the Website. Your continued use of the print design after such amendments constitutes acceptance of the revised Terms.

11. Entire Agreement:

• These Terms constitute the entire agreement between you and the Company regarding the sale and use of the print design and supersede all prior or contemporaneous agreements and understandings.
